Terms of service
ADX is operated by Keysquare Technologies Pvt Ltd, a company incorporated in India ("ADX", "we"). By creating an account or using the platform you agree to these terms and to the privacy policy. Publishers, advertisers and field agents also accept a platform agreement specific to their role inside the app; where that agreement and these terms differ, the platform agreement governs that role.
1. What ADX is
ADX is a marketplace. Publishers list advertising spaces they own or hold the right to sell. Advertisers book campaigns on those spaces. ADX verifies spaces, processes payments, holds funds until campaigns run, pays publishers and agents, and provides the apps and the console. ADX is not the owner of the advertising spaces and is not a party to the display contract between a publisher and an advertiser, except as the platform that facilitates and settles it.
2. Accounts
- You must be 18 or older and, for a business account, authorised to act for that business.
- An account is tied to a mobile number. Keep your device and sign-in codes secure. You are responsible for activity on your account.
- You must provide accurate information and keep it current. Identity verification (KYC) is required before a publisher's listing goes live, before an advertiser's paid campaign launches, and before a field agent takes work.
- We may suspend or close an account for breach of these terms, fraud, non-payment, legal requirement, or prolonged inactivity, with notice where the law requires it.
3. Publishers
- You warrant that you own the space or hold a current lease, licence or permit to sell advertising on it, and that the listing is accurate. Where the right has a term, you must record it and renew it; a lapsed right takes the listing off the shelf.
- You agree to ADX verification visits and to re-verification on the stated cadence.
- You set your daily rate. ADX deducts a platform commission from each booked day, shown on every booking and in your earnings statement.
- You must display the booked creative for the booked period and cooperate with proof-of-display checks.
4. Advertisers
- You are responsible for the content of your creative and for its compliance with the Advertising Standards Council of India code and applicable law. ADX may refuse or remove content that is unlawful, misleading, or in breach of our content policy.
- The price shown at booking is the publisher's rate for the period plus GST. Payment is due at booking. Funds are held by ADX and released to the publisher as the campaign runs.
- Changes and cancellations are governed by the refund and cancellation policy.
5. Field agents
- Agents are independent contractors engaged for defined tasks, not employees of ADX, unless a separate written agreement says otherwise.
- Agents must complete onboarding, verification and training before taking work, follow the code of conduct, and handle the documents of others with care and only for the task assigned.
- Earnings are credited to the agent's ADX wallet on completion of accepted tasks and paid out to a verified bank account.
6. Payments, wallets and payouts
- Payments are processed by our payment gateway partner. ADX does not store card or bank credentials.
- Wallet balances are records of amounts owed by ADX to you; they are not deposits and earn no interest.
- Payouts are made to verified Indian bank accounts or UPI IDs, subject to limits by account tier, to identity verification, and to tax deduction at source where applicable.
- We may withhold or reverse amounts that are the subject of fraud, chargeback, error or dispute.
7. Acceptable use
You will not misrepresent identity or ownership, upload unlawful or infringing content, interfere with the platform, scrape it, circumvent fees by settling off-platform for a booking made on it, or use ADX for any purpose other than buying, selling and servicing advertising space.
8. Intellectual property
ADX, its apps, console, marks and content are owned by Keysquare Technologies Pvt Ltd or its licensors. You keep ownership of the content you upload and grant ADX a licence to host, display and process it to operate the platform.
9. Liability
ADX provides the platform "as is" with reasonable care. To the extent permitted by law, ADX is not liable for indirect or consequential loss, for the acts of other users, or for the performance of a display contract between a publisher and an advertiser. ADX's total liability for any claim is limited to the fees ADX earned from the transaction concerned in the preceding 12 months. Nothing limits liability that cannot be limited under Indian law.
10. Disputes
Raise disputes through the app first; ADX will attempt to resolve them within 15 working days. These terms are governed by the laws of India, and the courts at New Delhi have exclusive jurisdiction, without prejudice to remedies under the Consumer Protection Act, 2019 where they apply.
11. Changes
We may update these terms. Material changes are notified in the app and take effect no earlier than 15 days after notice, except where a change is required by law. Continued use after that date is acceptance.
